Boeing has agreed to sell portions of its Digital Aviation Solutions business to private equity firm Thoma Bravo for $10.55 billion in an all-cash transaction. The sale includes key aviation software assets such as Jeppesen, ForeFlight, AerData, and OzRunways, which provide flight planning, navigation, maintenance tracking, and operational optimization tools widely used across the aviation industry. Approximately 3,900 employees are part of this business segment.
Boeing will retain core digital capabilities focused on aircraft and fleet-specific data analytics that support predictive maintenance, diagnostics, and repair services for both commercial and defense customers. This divestiture is part of Boeing’s strategic effort to focus on its core aerospace operations, strengthen its balance sheet, and maintain its investment-grade credit rating. The transaction is expected to close by the end of 2025, subject to regulatory approval and customary closing conditions.
Thoma Bravo, known for investing in software companies, plans to operate the acquired platforms as an independent entity, aiming to build on their strong growth momentum and technological innovation legacy, particularly Jeppesen’s nearly century-long history in aviation navigation.

This move reflects Boeing’s broader strategy under CEO Kelly Ortberg to streamline its digital portfolio, reduce debt, and prioritize investments in core aerospace manufacturing and defense capabilities while continuing to support customers with essential digital services.
