Teledyne Technologies has agreed to acquire Varex Imaging Corporation in an all-cash transaction valued at approximately $1.1 billion, a deal designed to strengthen Teledyne’s position in advanced X-ray imaging technology.

Under the definitive agreement, Teledyne will pay $18.90 in cash for each outstanding Varex share. The companies’ boards have unanimously approved the transaction, which is expected to close in early 2027, subject to regulatory clearances and approval from Varex shareholders.

The acquisition brings together two established technology suppliers with overlapping customer bases but largely complementary product lines. Varex designs and manufactures X-ray tubes, digital detectors, high-voltage interconnects, imaging software, and related components. Its products are used by original-equipment manufacturers in medical diagnostic imaging, industrial inspection, security screening, vehicle inspection, and measurement applications.

For Teledyne, the purchase offers a route to broaden its exposure to high-value medical and industrial imaging markets without substantially duplicating its existing capabilities. Robert Mehrabian, Teledyne’s executive chairman, said the companies serve similar customers and employ related technologies, but their products have minimal overlap. This distinction is strategically significant: it suggests the deal is intended to add specialized capabilities rather than simply consolidate market share.

Varex is particularly well positioned in fields where Teledyne has had a smaller presence. The company supplies X-ray detectors for high-radiation environments, including oncology applications, and produces advanced photon-counting detectors for healthcare and industrial inspection. It also manufactures X-ray tubes for radiography, fluoroscopy, and computed tomography systems—areas Teledyne has not historically served.

Teledyne has steadily expanded through acquisitions in imaging, sensing, and electronics. It entered the healthcare market through its 2011 acquisition of Teledyne DALSA, which was developing low-dose, high-resolution CMOS-based X-ray detectors. The company further widened its healthcare technology footprint with its 2017 acquisition of Teledyne e2v, a supplier of magnetrons used by cancer-radiotherapy equipment manufacturers. Adding Varex could connect these businesses more closely across the imaging value chain.

The $18.90-per-share offer represents a cash exit for Varex investors and values the company at roughly $1.1 billion when equity awards and net debt are included. Varex Chief Executive Sunny Sanyal said joining Teledyne would provide opportunities for customers and employees while helping speed adoption of its advanced imaging products and the development of next-generation solutions.

From a market perspective, the transaction reflects continued demand for specialized imaging technologies with applications beyond traditional healthcare. Security, cargo inspection, aerospace, manufacturing quality control, and scientific measurement increasingly rely on sophisticated X-ray components, digital detectors, and image-processing systems. Combining Varex’s component expertise with Teledyne’s broader portfolio in digital imaging, sensors, instrumentation, and vacuum electronics could give the combined group greater scale in these growing end markets.

Investors will now focus on the regulatory timetable, shareholder vote, integration plans, and Teledyne’s ability to convert technological complementarity into revenue growth. If completed as expected in early 2027, the Teledyne-Varex deal could become an important expansion of Teledyne’s medical and industrial imaging franchise.
