SoftBank Group has secured a US$10 billion, two-year margin loan backed by its stake in OpenAI, adding fresh borrowing capacity to the Japanese technology investor’s aggressive artificial-intelligence strategy.

The facility was agreed with a consortium comprising Goldman Sachs Bank USA, JPMorgan Chase Bank, Mizuho Securities USA, Apollo Global Funding and Sumitomo Mitsui Banking Corporation. SoftBank plans to draw the loan this month, according to its latest financial report. The proceeds will be used for general corporate purposes across the group and for investments through Vision Fund II-2.

The transaction allows SoftBank to convert part of its ownership in the privately held AI company into immediate funding without selling the stake. However, using private-company equity as collateral introduces valuation and liquidity risks. OpenAI does not have a public share price, meaning lenders must rely on private-market valuations and contractual protections when assessing the collateral.

The loan also contains provisions requiring SoftBank to provide cash or make early repayment if the value of OpenAI’s preferred shares falls substantially. This structure could increase pressure on the group if market sentiment toward artificial intelligence weakens or if OpenAI’s valuation declines.

The new financing follows SoftBank’s US$40 billion bridge loan supporting its OpenAI investment program. The company’s total planned investment in OpenAI is expected to reach approximately US$65 billion by October, underscoring the scale of founder Masayoshi Son’s commitment to the sector.

The funding strategy reflects SoftBank’s broader effort to position itself at the center of the AI infrastructure boom, including investments in data centers, computing capacity and related technologies. Yet it also concentrates financial risk around one highly valued private asset.

Analysts and investors will therefore monitor OpenAI’s future fundraising, potential initial public offering and valuation stability. Any delay to an IPO could limit SoftBank’s ability to monetize its holding, while tighter financing conditions could make refinancing more expensive.
