Italian pharmaceutical company Alfasigma has signed an agreement to acquire Nordic Group B.V. and its subsidiaries from SEVER Life Sciences, strengthening its specialty-care portfolio and expanding its international commercial reach. The deal will add Nordic Pharma’s rheumatology, women’s health, critical-care and ophthalmology products to Alfasigma’s business.

The transaction is structured as a share purchase agreement for 100% of Nordic Group. Financial terms have not been disclosed, and completion remains subject to customary closing conditions, including required regulatory clearances. Closing is expected by the end of the fourth quarter of 2026.

Alfasigma Expands Specialty Pharmaceutical Portfolio

The acquisition is designed to advance Alfasigma’s merger-and-acquisition-led growth strategy, particularly in immunology and gastroenterology. The most important portfolio addition is Nordic Pharma’s rheumatoid arthritis business, led by the Nordimet methotrexate franchise.

Nordimet is a methotrexate-based therapy used in the management of rheumatoid arthritis and other inflammatory conditions. Its addition complements Alfasigma’s existing Jyseleca franchise, which is approved for second-line treatment of inflammatory and autoimmune diseases, including rheumatoid arthritis and ulcerative colitis, in the European Union, European Economic Area and United Kingdom.

By bringing these assets together, Alfasigma aims to build a broader rheumatology platform. The combined portfolio could give the company a stronger position across different stages of treatment, from established methotrexate therapy to more specialised medicines for patients requiring additional disease control.

Nordic Group Adds Europe, Canada and Japan

The deal will significantly extend Alfasigma’s commercial footprint. Following completion, the company is expected to operate directly in 18 European countries while adding commercial platforms in Canada and Japan.

Nordic Group, also known as Nordic Pharma, is headquartered in Hoofddorp in the Netherlands. It has developed a diversified portfolio of branded and niche pharmaceutical products marketed across Europe and selected international markets.

The acquisition is expected to add approximately €190 million in 2025 revenue to Alfasigma. It will also bring around 265 employees with specialist commercial, scientific and operational capabilities.finance.

This combination of products, geographic reach and workforce is strategically important. In specialty pharmaceuticals, commercial success depends not only on owning products but also on maintaining country-level regulatory expertise, medical-affairs teams, market-access capabilities and established relationships with healthcare providers.

More Than a Rheumatology Deal

Although rheumatology is the central therapeutic rationale, Nordic Group also contributes products in women’s health, critical care and ophthalmology. These areas could diversify Alfasigma’s revenue base and provide opportunities for cross-selling, distribution efficiencies and shared medical-support infrastructure.

Women’s health and critical care are both areas where specialised sales forces and focused clinical knowledge can be particularly valuable. Ophthalmology adds another targeted therapeutic category with demand driven by ageing populations and chronic disease management.

The deal may therefore allow Alfasigma to pursue growth without depending entirely on a single therapeutic franchise or geographic market.

What Happens Next?

Until the transaction closes, SEVER Life Sciences and Nordic Group will continue to operate independently. Customers, suppliers and business partners should expect normal operations during the pre-closing period.

After selling Nordic Group, SEVER Life Sciences plans to focus on its remaining businesses: Sever Pharma Solutions, Farmaprim, Esperante Development and Nordic Pharma Inc.

For Alfasigma, the acquisition represents a clear move toward scale in specialty care. If regulatory approvals are secured and integration proceeds smoothly, the company will emerge with expanded rheumatology capabilities, a larger European operating base and new platforms in Canada and Japan.
