China has blocked SoftBank’s proposed $5.4 billion acquisition of ABB’s robotics division, dealing a setback to Masayoshi Son’s ambitions in artificial intelligence and industrial automation. ABB confirmed the prohibition on November 5, 2026, highlighting Beijing’s willingness to intervene in transactions between foreign companies when Chinese technology, operations and sensitive data are involved.

The decision underscores the growing importance of data in national-security reviews. According to reporting first published by the Financial Times, Chinese officials were concerned that robotics information generated domestically could move overseas and help train foreign AI models, including those developed by OpenAI, a major SoftBank investment.

Why China Blocked the SoftBank–ABB Deal

ABB said China’s Office of the Working Mechanism for Foreign Investment Security Review prohibited the transaction. Earlier reporting identified scrutiny by the National Development and Reform Commission, China’s state planning agency, which reviews foreign investments with potential national-security implications.

The reported concern went beyond ownership of robotic machinery. Industrial automation generates information about how machines operate in factories, interact with equipment and perform manufacturing tasks. Access to that experience can support the development of AI systems capable of operating in the physical world. Reporting on the decision identified overseas transfers of robotics data as a central issue.

However, concerns about specific transfers remain reported regulatory reasoning—not evidence that SoftBank or ABB had already improperly exported information. The available accounts do not establish that such a transfer occurred.

Why ABB Robotics Matters to SoftBank

SoftBank announced the acquisition in October 2025, with completion originally expected in mid-to-late 2026, subject to regulatory approvals. The deal would have brought a robotics business employing more than 7,000 people into Son’s expanding AI portfolio.

ABB Robotics supplies industrial robotic arms and automation equipment to manufacturers including BMW. Its established customer relationships and production expertise offered SoftBank something different from an investment in an early-stage AI company: an existing platform for deploying technology commercially.

Bloomberg Intelligence analyst Kirk Boodry said ABB’s domain knowledge and manufacturing capabilities were expected to help transform SoftBank’s robotics concepts into operating businesses. The acquisition therefore represented a bridge between AI research and practical industrial deployment.

China’s Operations Give Beijing Leverage

China is ABB’s largest robotics market. Approximately 90% of the machines supplied to Chinese customers are manufactured locally, and the company employs thousands of people in the country. Those operations help explain why Chinese approval mattered despite the buyer and seller being headquartered abroad.

ABB Engineering in Shanghai also hosts the group’s global robotics headquarters and serves as an important research, development and production centre. The transaction consequently involved substantial capabilities embedded within China’s industrial ecosystem.

What Happens Next?

ABB said it remained in close dialogue with SoftBank and was continuing to work on the transaction. Reporting indicated that SoftBank was examining whether approval could be sought again, but no revised structure or successful regulatory remedy had been announced.

The immediate lesson for investors is that AI acquisitions increasingly face scrutiny over expertise and information—not simply market concentration. China’s decision shows how domestic operations can give a government influence over a global technology transaction.
